The companies shall perform the following modifications:
- The companies shall file to the Court of Registry with jurisdiction the declaration of consent to the use of the property as registered office / place of business / branch issued by the owner of the property;
- The companies shall announce the tax number of the authorized representative and the members;
- The company shall also announce the date of birth of the natural person authorized to represent;
- If there are registered by the Court of Registry any foreign natural person or legal entity, then they shall designate agent for service of process and the company shall file the proxy for delivery to the Court of Registry;
If a company performs exclusively the above compulsory modification, thus the procedure is not charged with the Court of Registry’s costs and duties.
Please, take into consideration that the above modifications are compulsory and shall be performed at the time when any change in their particulars on file in the companies register takes place for the first time after March 1, 2012, in any case by 1 February 2013 at the latest. If the above modifications are not executed within the deadline, the Court of Registry can impose the company with a penalty from HUF 50 000 to HUF 900 000.

Please, take also into consideration that the provisions of the Companies Act regulating the business activity have been modified. The modification of the business activity determined under the NACE-classification can only be modified through the bookkeeper of the company. The new procedure is that the bookkeeper reports the modification to the Hungarian Tax Authority and then the Tax Authority informs the Court of Registry with jurisdiction officially and the Court of Registry registers the changes ex officio in the Corporate Registry.
